1. Acceptance of Terms

By accessing, registering for, or using the Raven Seer application ("Service," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you must not access or use the Service. These terms constitute a legally binding agreement between you and Raven Seer.

2. Description of Service

Raven Seer is a sophisticated competitor intelligence tracking platform that empowers you to monitor competitor domains and designated keywords across the public web. Key features of the Service include, but are not limited to:

Automated daily intelligence scans of specified web targets.
Curated intelligence feeds and generated battlecards.
Automated delivery of scheduled battle brief summaries.
Team collaboration and account management tools.

We reserve the right to modify, suspend, or discontinue the Service (or any part or feature thereof) at any time with or without notice to you. We shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service.

3. Subscriptions, Billing, and Fair Use

The Service operates on a tiered subscription model (Starter, Pro, and Growth/Enterprise). Each tier restricts usage based on explicit limits:

Free Trial: The Starter plan may include a 14-day free trial. If you do not upgrade before the trial ends, your access may be restricted.
Billing & Payments: All fee processing, subscription renewals, downgrades, and upgrades are handled securely via our Merchant of Record and payment partners. By subscribing, you agree to their related billing terms and conditions.
Limit Enforcement: You are strictly bound by the limits established in your pricing tier (e.g., maximum team members, tracked competitors, and keywords). Attempting to circumvent these limits is a violation of these Terms. If a downgrade or billing failure occurs, we reserve the right to automatically pause active scans or remove excess users according to our platform's automated enforcement policies to align your account with the appropriate limits.

4. User Accounts and Security

To access certain features of the Service, you must register for an account. By registering, you agree to:

Provide accurate, current, and complete information as prompted during registration.
Maintain the security of your password and authentication credentials.
Accept full responsibility for all activities that occur under your account.
Notify us immediately of any breach of security or unauthorized use of your account.

5. Acceptable Use Policy

The Service is intended for gathering publicly available competitive intelligence. You are solely responsible for all data, domains, and keywords you configure the Service to track. You explicitly agree NOT to use the Service in connection with:

Any activity that is unlawful, illegal, fraudulent, or unauthorized.
Tracking or attempting to scrape private, sensitive, password-protected, or personally identifiable information.
Bypassing or avoiding any technical measures or restrictions designed to prevent scraping (e.g., ignoring robots.txt standards maliciously or employing DDOS tactics).
Infringing upon the intellectual property rights or privacy rights of any third party.

We reserve the right to immediately suspend or terminate your account (without refund) if we reasonably believe you have violated this Acceptable Use Policy.

6. Intellectual Property Rights

The Service, including its original content, features, functionality, source code, and design, are owned by Raven Seer and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You retain all rights to any proprietary keyword configurations and business logic you input into the Service. By configuring the Service, you grant us a standard license to process this data solely for the purpose of providing the Service to you.

7. Disclaimer of Warranties

The platform utilizes algorithms to process, synthesize, and summarize data gathered from the public web. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

Raven Seer expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no warranty that:

The Service will meet your specific business requirements.
The Service will be uninterrupted, timely, secure, or error-free.
The intelligence insights, battlecards, or data collected will be accurate, exhaustive, reliable, or actionable for your specific use-case.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Raven Seer, its affiliates, directors, employees, suppliers, or licensors be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

Your access to, use of, or inability to access or use the Service.
Any conduct or content of any third party on or accessed through the Service.
Any unauthorized access, use, or alteration of your transmissions or data.

9. Indemnification

You agree to defend, indemnify, and hold harmless Raven Seer and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password, or b) a breach of these Terms.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
